A Gibraltar-incorporated company with Company Registration number 119662, headquartered at 2 Irish Town, Gibralta GX11 1AA United Kingdom, referred to as "Ribbon".
(A) Ribbon is a private limited company that provides banking and financial services.
(B) Subject to the terms and conditions of this Agreement, the ambassador shall refer ‘Ribbon’s multicurrency account’ to their networks.
(C) The Parties desire to set out the terms that will apply to the referral of the accounts by the ambassador to their networks.
"Company" shall mean Ribbon Plc, a company registered in Gibraltar (whose registration number is 119662) and whose principal place of business is headquartered at 2 Irish Town, Gibraltar GX11 1AA.
"Ambassador" shall mean an individual who has agreed to these terms and represents the Company for a designated community.
"Services" shall mean sales and marketing services to be provided to the Company by the Ambassador.
"User" shall mean any user of the Ribbon app.
"Confidential Information" is any information provided by the Company to the Ribbon Ambassador that the ambassador has not explicitly been informed is available for release to the public.
NOW THEREFORE, in consideration of the mutual covenants herein and other valuable consideration, the Parties hereby agree as follows:
This Agreement will commence on the Effective Date and is valid until for 12 months unless both the parties mutually agree in writing to extend the term of this Agreement.
4.1 The ambassador shall refer the Ribbon Multicurrency accounts to their networks, subject to the terms herein.
4.2 The ambassador agrees to:
a) Follow Ribbon's Corporate Identity guidelines which includes Ribbon’s trademark(s), service mark(s), tradename(s) and corporate mark(s) and logo(s), when promoting Ribbon.
b) Not violate Ribbon's Intellectual Property Rights, using them only as approved in writing by Ribbon.
4.3 The ambassador agrees not to solicit or encourage Ribbon's competitors while providing its services.
4.4 Furthermore, the ambassador agrees to:
Encourage their networks to use the Ribbon superapp and provide feedback exclusively to Ribbon, without the use of any public social media or public messaging channels, such as newspapers etc.
Promote the use of the relevant promo code
Seek the consent of the users before supporting them with the account opening process
4.5 The ambassador acknowledges that Ribbon's products and services are subject to Ribbon's terms and conditions set out in this agreement.
4.6 In return of the services covered in the scope of this agreement the ambassador shall be able to invoice Ribbon for the following:
a) The ambassador may invoice Ribbon at a rate of GBP 10 per successful referral using the provided promo code.
b) Invoices must contain: (i) the referral period and the count of accounts opened through the referrals , and (ii) a value of GBP 10 per referred account from Ribbon.
c) Invoices shall be remunerated within 30 days from the point of Ribbon's completion of reconciliation.
Each Party undertakes to comply with all applicable laws and regulations in connection with its performance of this Agreement.
Either the company or the ambassador may terminate this Agreement: (a) for convenience upon thirty (30) days written notice to each other, or (b) if either the company or the ambassador fails to cure any material breach of this Agreement immediately after written notice of the breach.
The Agreement's terms and commercial details are confidential, meant solely for the business relationship and service performance outlined within. Neither Party can disclose it to others unless allowed by the Agreement or with mutual written consent.
The ambassador represents, warrants and covenants to Ribbon as follows
Expertise. The ambassador acknowledges its commitment to undergo necessary training and product testing to ensure competent service delivery alongside its possession of the expertise, technology, personnel, and operational systems essential for the service provided. It commits to executing the Services professionally and in alignment with the terms of this agreement.
GDPR Compliance and Indemnification. The ambassador shall establish a Lawful Basis under GDPR Article 6 for individuals referred to Ribbon's products and services as per the terms herein. Moreover, it will absolve Ribbon Plc from any legal or regulatory claims that may arise in this context.
Regulatory Adherence. The ambassador commits to maintaining compliance with all applicable laws, rules, and regulations concerning Service provision. It will ensure that its representatives also comply as required by applicable laws.

This Agreement shall be governed, interpreted and enforced in accordance with the Laws of England and Wales. The Parties hereby submit to the jurisdiction of Courts of England & Wales.
I, [Ambassador Full Name], hereby accept the role of an Ambassador for Ribbon and acknowledge my commitment to the responsibilities and expectations outlined in this contract. I understand that as an Ambassador, I am a representative of Ribbon and will conduct myself in a professional and responsible manner at all times.
I declare that I have thoroughly reviewed and understood the terms, responsibilities, and guidelines provided in this contract. I am aware that any breach of these terms or any behaviour inconsistent with the values and standards of Ribbon may result in the termination of my role as an Ambassador.
By signing below, I acknowledge my agreement to this contract and my acceptance of the responsibilities associated with the role of an Ambassador.
